End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either as an individual or on behalf of an entity) and Christopher Sinclair ("Licensor," "we," "us," or "our") regarding your use of the Lorzi desktop application and associated documentation (the "Software").

IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS EULA, DO NOT INSTALL, USE, OR COPY THE SOFTWARE.

Summary

1. The Agreement

By downloading, installing, using, or copying the Software, you accept and agree to be bound by the terms of this EULA. If you do not agree to all of the terms of this EULA, you may not download, install, use, or copy the Software.

2. License Grant

Subject to your compliance with this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on devices you own or control, solely for your personal or internal business purposes.

This Software is licensed, not sold. The Licensor reserves all rights not expressly granted in this EULA.

3. Service Tiers

3.1 Free Tier

The free tier of the Software includes access to core features for markdown (.md) files only. The free tier is provided at no cost and may be used indefinitely, subject to this EULA.

The premium tier unlocks additional features, including but not limited to:

5.1 Your AI Subscription

The Software is designed to connect to third-party AI services (such as Anthropic's Claude) using your own API keys or subscriptions to those services. The Licensor does not provide AI services directly and is not responsible for:

Your use of third-party AI services is governed by those services' own terms and conditions. You are responsible for complying with all applicable third-party terms.

5.3 API Keys and Credentials

You are solely responsible for maintaining the security of your API keys and credentials. The Licensor does not store your API keys on our servers; they are stored locally on your device.

6. Restrictions

You agree not to, and will not permit others to:

  1. Use the Software in any manner that violates applicable laws or regulations.
  2. Sell, resell, rent, lease, sublicense, or otherwise transfer the Software or your license to any third party.
  3. Copy, modify, or create derivative works of the Software.
  4. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
  5. Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  6. Use the Software to develop a competing product or service.

7. Your Data and Files

7.1 Local Storage

The Software operates primarily on files stored locally on your device. The Licensor does not have access to your local files unless you explicitly share them with us (e.g., for support purposes).

7.2 Data You Control

You retain full ownership of all files, documents, and content you create or edit using the Software. The Licensor claims no ownership rights over your content.

8.2 Automatic Updates

The Software may automatically check for and install updates. This feature ensures you have the latest security patches and improvements. If you do not want automatic updates, you must uninstall the Software.

9. Open-Source Components

Certain components of the Software may be subject to open-source software licenses ("Open-Source Components"). The Software documentation includes copies of the licenses applicable to the Open-Source Components.

To the extent there is a conflict between the license terms covering the Open-Source Components and this EULA, the terms of such open-source licenses will apply to those components.

To the extent the terms of the licenses applicable to Open-Source Components require the Licensor to make an offer to provide source code, such offer is hereby made, and you may exercise it by contacting help@lorzi.ai.

10. Intellectual Property

The Software and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of the Licensor. This EULA does not grant you any rights to trademarks or service marks of the Licensor.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT:

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO THE LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

13. Termination

13.1 Termination by You

You may terminate this EULA at any time by uninstalling the Software and ceasing all use.

13.2 Termination by Us

The Licensor may terminate this EULA immediately if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

13.3 Survival

The following sections survive termination: Sections 6 (Restrictions), 10 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), and 14 (Governing Law).

14. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to this EULA shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to This EULA

The Licensor reserves the right to modify this EULA at any time. If we make material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Software after the effective date constitutes acceptance of the revised EULA.

16. Severability

If any provision of this EULA is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

This EULA constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements and understandings.
